# 相談事例：事業承継の際に考える3つのポイント

今回は企業様のお悩み相談について、内容を詳しく書けないのですが、事業承継の際に考えないといけない大きな**ポイント3つ**を紹介いたします。

## ポイント１：会社の継承

当たり前ではありますが、会社の代表権を引き継がなくてはいけません。

先代が亡くなって引き継ぐ場合は「相続」（遺贈）

先代が勇退することで引き継ぐ場合は「贈与」

 

引き継いだあとはそれぞれの場合で異なる税金が発生してきますので忘れずに対応しましょう。

※相続の場合は免除される場合もあります

## ポイント２：株式の継承

会社の承継に続き、株式会社だった場合は、株を後継者へ渡さないといけません。

相続や、贈与に関わりますのでこちらにも税金が掛かってきます。

株式を譲渡ではなく、販売とする手法もあります。

 

今回の私が受けた相談の大半はこちらについてでした（株の引き継ぎの税金対策など）。

## ポイント３：契約書類の名義変更など

こちらも事業承継後には必要になる作業です。

金融機関や、取引先との契約などは経理や総務も把握しているかと思いますので、スムーズに行えると思いますが、忘れがちな部分として、従業員の雇用契約などの社内向けの書類も合わせて確認しましょう。

## 最後に・・・

今回はあまり内容は詳しく書けないのですが、昔から個人的にもおつきあいのある企業で、承継前（3年ほど前）から相談を受け、継承のための経営方針の策定などを一緒に定めながら、無事に事業承継完了することができました。

秘密保持契約なども行いますので、企業様の顧問弁護士や、会計士などともお話しさせていただき安心して事業継承を進めさせていただくことができました。
